Overview

The Company is a Singapore headquartered fintech that provides underbanked consumers with a digital credit platform to finance e-commerce purchases, pay bills, and secure personal loans (collectively “Loans”). The Company’s flagship buy-now-pay-later product enables e-commerce purchasers to apply and qualify for instant credit. Its product offering includes 30-day zero interest loans, short term e-commerce installment loans and unsecured personal loans granted to existing e-commerce borrowers.

The Originator has a long-term credit commitment with The Company to provide The Company with capital to finance its buy-now-pay-later (BNPL) products.

1. The Notes offer an attractive structured yield, with additional upside potential through the Warrants
2. The Company is a best-in-class operator with support from large international VC investors and significant cash liquidity
3. The Notes advance between 70%-80% against short-duration Loan collateral and maintain a corporate guarantee
4. The Originator holds a right of first refusal (“ROFR”) should The Company continue to scale and execute on its plan to launch ancillary products and expand geographically
5. The investment represents The Originator’s initial penetration into the rapidly developing Southeast Asian fintech market.

The The Company deal is broken up into three different tranches (Tranche A, Tranche B, Tranche C).

• Tranche A (matures on 6/30/2026) has a $100m commitment and a fixed Cash Interest Rate of 14% p.a.
• Tranche B (matures on 6/30/2026) has a $100m commitment and a fixed Cash Interest Rate of 14% p.a.
• Tranche C (matures on 6/30/2026) has a $114.5m commitment, a fixed Cash Interest Rate of 15% p.a., and a fixed PIK Interest Rate of 5% p.a. payable semi-annually in Series D-3 warrants.
